Company Secretary
With continued growth across the Bourse Group, we’re always on the lookout for bright individuals to join the team and we are currently looking for an Company Secretary to join Bourse Trust Company Limited, where we provide private wealth services covering family office, trusts, employee benefit trusts, foundations and company management. We also provide individual and company pension administration services.
The successful candidate will play a vital role in ensuring compliance with regulatory requirements, maintaining corporate governance standards, and supporting the overall administration of our trust services.
Key responsibilities
Corporate Governance and regulatory compliance:
Ensure compliance with Guernsey company law and relevant regulations.
Monitor changes in legislation and assess the impact on the company and its clients.
Prepare and maintain statutory registers and filings for all entities managed by the company, as well as internal regulated companies (both primary and secondary licensees).
Prepare and submit Annual Validations and other regulatory filings, communicating with the Guernsey Registry as required for both inhouse and client entities.
Prepare and make all filings in respect of all Guernsey Companies (both internal and client entities) in respect of the Guernsey Registry.
Preparation of responses to any Guernsey Registry survey’s
Preparation/Collation of any documentation required in advance of any visits by the Guernsey Registry
Ensure that the Policies and Procedures in respect of the Guernsey Registry are kept up to date and propose changes where appropriate.
Board Meetings – Internal companies/Committees
Arrange Board Meetings, prepare agendas and collate Board Papers for internal companies.
Attend meetings to take minutes. Type up minutes, circulate for review and comments before producing final version.
Prepare resolutions, as required.
Deal with action points and keep a log of process, liaising with Board as required to get action points completed and minutes signed off.
Onboarding of new clients or entities
Support the onboarding of new clients and the establishment of new entities
Changes to Board/Shareholders/Beneficial Ownership
Assisting with any changes of Directors/Shareholders/Beneficial Ownership for internal companies and also client companies.
Documentation and Record Keeping:
Maintain accurate and up-to-date records of all corporate documents for internal companies.
Ensure database is kept up to date for all internal companies.
Keep register of meetings.
Assisting with drafting of more complicated minutes in respect of client companies.
Ensuring correct filing of all work carried out for client companies including saving down copies of the registry filings in the relevant locations
Internal Liaison:
Provide advice to employees on company secretarial matters and best practices.
Team Collaboration:
Work closely with other departments, including legal, compliance, and all client facing teams, to ensure seamless operations.
Skills, knowledge, expertise
A relevant qualification in corporate governance, law, or a related field (e.g., ICSA, STEP).
Previous experience as a Company Secretary or in a similar role, preferably within a trust or financial services environment.
Strong understanding of Guernsey company law and regulatory framework.
Excellent organisational and communication skills.
Ability to work independently and manage multiple tasks simultaneously.
Proficiency in Microsoft Office.
